A key component of a target company’s value in an M&A transaction has always been its intellectual property assets. But as companies rely more and more on proprietary data, software, analytics, and IT infrastructure, the nature of its IP assets and risks has evolved. In many cases, a company’s most valuable IP assets now include its software, trade secrets, machine learning algorithms, IT contracts, and proprietary data. In M&A and corporate transactional due diligence, this presents new challenges in identifying those assets and analyzing the associated risks related to IP ownership, enforceability, infringement, and license scope.
This program explains the IP and IT due diligence process in detail, including inquiries about the identity and origin of unregistered IP assets of the target company, uncovering infringement risks, and evaluating the impact of IP and technology contracts used in the business, including open source licenses.
The program also covers M&A structural considerations related to IP and IT due diligence, including review and treatment of the target company’s M&A process NDAs and applicability of change in control and assignment provisions to various M&A and corporate transaction structures.
