Hunton Represents MW Components in Pending Sale to Rosebank
Hunton Andrews Kurth LLP represented MW Industries, Inc. (MW Components) in its entry into a definitive agreement for its sale to Rosebank Industries (LON: ROSE) in a $3.25 billion transaction that will also include the sale of CPM Holdings Inc (CPM). MW Components and CPM are portfolio companies of American Securities LLC, a leading U.S. private equity firm.
MW Components is a manufacturer of highly engineered, bespoke fasteners, springs, and precision metal components, wholly based in the United States. Since partnering with American Securities in September 2017, MW Components has invested in talent, equipment, and technology to support accelerating growth in strategic end markets including aerospace and defense, electronics, and semiconductors.
Hunton is a long-standing adviser to MW Components and has advised MW Components on a number of acquisitions and strategic transactions in support of its growth over the past seven years.
The Hunton team advising on the transaction was led by M&A partners Austin Maloney and Doug Granger, with assistance from corporate associates Kelli Rice, Corinne Davis, and Kathleen Dill.
