Overview

Brendan assists clients with public and private securities offerings, with a concentration in the energy and utility industries. His experience includes SEC registered debt offerings, Rule 144A/Regulation S debt offerings, utility first mortgage bond offerings, common stock offerings, establishment of “at-the-market” equity programs, equity-linked offerings, preferred and hybrid securities offerings, establishment of “medium-term notes” programs, liability management transactions, tax-exempt offerings and remarketings of multimodal debt, 4(a)(2) private placements and dedicated utility rate securitization transactions.

He regularly advises clients on ESG (environmental, social and governance) offerings and establishment of ESG frameworks.

Brendan also has experience advising clients on general corporate matters, including corporate governance, securities law compliance, mergers and acquisitions, due diligence, and preparing ’33 and ’34 Act securities filings.

Experience

  • Represented PG&E Corporation and its subsidiary Pacific Gas and Electric Company in connection with their $22.7 billion debt exit financing, which included the largest utility debt financing in history, and establishment of a new first mortgage bond indenture, issuance of new debt securities pursuant to its plan of reorganization and securities law advice related to PG&E’s Chapter 11 bankruptcy proceedings.
  • Represented Duke Energy Corporation in connection with multiple unsecured debt, Euro-denominated debt, preferred stock/depositary shares and equity transactions.
  • Represented Duke Energy Carolinas, LLC, Duke Energy Progress, LLC, Duke Energy Florida, LLC, Duke Energy Indiana, LLC, Duke Energy Ohio, Inc. and Piedmont Natural Gas Company, Inc. in connection with multiple first mortgage bonds and unsecured notes offerings, including green financing.
  • Represented Duke Energy Corporation in connection with forward common stock offering and establishment of at-the-market equity program (with forward).
  • Represented Evergy, Inc., Evergy Kansas Central, Inc., Evergy Metro, Inc. and Evergy Missouri West, Inc. in connection with multiple unsecured debt and first mortgage bond offerings, 4(a)(2) private placements offerings and remarketings of tax-exempt multimodal debt.
  • Represented underwriters in connection with equity units offerings by NextEra Energy, Inc.
  • Represented DTE Energy Company in connection with equity units and common stock offering.
  • Represented underwriters in connection with equity units remarketings by NextEra Energy, Inc. and American Electric Power Company.
  • Represented DTE Energy Company in connection with Equity Units remarketing.
  • Represented underwriters in connection with multiple first mortgage bond or other secured debt issuances, including green financing, by CenterPoint Energy Houston Electric, LLC, Florida Power & Light Company, Northern States Power Company (Minnesota), Northern States Power Company (Wisconsin), NorthWestern Corporation, Southwestern Public Service Company, Puget Sound Energy, Inc., Puget Energy, Inc. and Public Service Company of Colorado, Inc.
  • Represented underwriters in connection with multiple unsecured debt issuances, including green financing, by American Electric Power Company, Inc. (and subsidiaries), Avangrid, Inc., CenterPoint Energy, Inc. (and subsidiaries), Consolidated Edison, Inc. (and subsidiaries), NextEra Energy, Inc.   • Represented remarketing agents in connection with issuances and remarketings of tax-exempt multimodal debt by subsidiaries of American Electric Power Company.
  • Represented underwriters in connection with taxable and tax-exempt bond offerings by Georgetown University and Regents of the University of Michigan.
