Chartthai Sutthapas

Admitted to practice law in both Thailand and New York, Chartthai focuses his practice on the development and financing of energy and infrastructure projects, international acquisitions, investments, joint ventures, and other cross-border commercial transactions in Thailand and across the Asia-Pacific region.

Before joining Hunton Andrews Kurth, Chartthai served as legal counsel for a leading Frankfurt-listed international manufacturer, specializing in polymers and high-performance materials. During his in-house role, Chartthai advised on various compliance and legal matters for numerous entities across the business in the Asia-Pacific region.

Prior to his in-house role, Chartthai was an associate in the Bangkok office of a Magic Circle firm.

• Represented Constant Energy in relation to an equity investment by Virya Energy, the renewable energy arm of Belgium-based Eurowatt.
• Represented Electricity Generating Public Co., Ltd.  as counsel in connection with the multi-million-dollar divestment of its 49 percent stake in RISEC Holdings, LLC (RISEC), the parent company to an entity that holds a 609 MW natural gas fire combined-cycle power plant in the state of Rhode Island, to Shell Energy North America (US), LP (SENA).
• Acted as local counsel to SDIC Mining on the acquisition of a controlling interest in a large potash mine in northern Thailand in Udon Thani Province, with the mining rights granted to Asia Pacific Potash Corporation (“APPC”), a subsidiary of Italian-Thai Development Public Company Limited (“ITD”). The stake sale is being run through a competitive bidding managed by APPC.
• Advised Constant Energy, a major rooftop solar power project developer and Independent Power Producer in Asia Pacific, on its refinancing with one of the Thailand’s largest commercial banks, KASIKORNBANK, for its portfolio of solar rooftop projects with the installed capacity of approximately 13.7 MW held by two project companies in Thailand.

• Represented Electricity Generating Public Co., Ltd. on its re-entry into the Indonesian infrastructure and utility market by way of a strategic investment in newly issued shares worth US$194 million and representing a 30 percent ownership interest in PT Chandra Daya Investasi (CDI), which is a subsidiary of PT Chandra Asri Petrochemical Tbk (JK: TPIA), Indonesia’s leading chemical company engaging in infrastructure solutions and operating an integrated petrochemical plant.

• Represented Banpu North America Corporation, a wholly-owned U.S. subsidiary and holding company of Thai stock-listed Banpu Public Company Limited, as the sponsor and major shareholder of BKV Corporation in connection with BKV’s initial public offering and listing of certain of its shares on the New York Stock Exchange.
• Acted as US and Thai acquisition counsel to Electricity Generating Public Co., Ltd.  on its acquisition of a 50 percent membership interest in US-based Compass portfolio consisting of three operating gas-fired combined-cycle gas turbine electricity generation facilities in northeastern United States with a total combined capacity of 1,325 MW.
• Advised a Thai leading energy and infrastructure developer on a USD194 million cross-border investment in Indonesia by way of newly issued shares in an infrastructure and utility investment company, with a portfolio of electricity generation and distribution, water treatment and supply, and tank and jetty management businesses.
• Advised a leading energy developer on the potential acquisition of up to 50% in a project company that indirectly owns a portfolio of three operating natural gas combined-cycle power plants in the US.
• Advised Singapore-based renewable energy developer in relation to an equity investment by an active sustainable energy developer based in Europe. The transaction consisted of a combination of primary investment and secondary shares acquisition from a company and its shareholders.
