Overview

Javier represents owners, investors, developers, lenders, and investment limited partners in a broad range of complex commercial real estate transactions. His experience spans acquisitions, dispositions, development, financing, joint ventures, ground leases, and leasing transactions across asset classes including retail, mixed-use, industrial, office, multifamily, and data center projects. He regularly advises clients on the structuring and negotiation of joint ventures and investment partnerships; the exercise of rights and remedies under limited partnership agreements, particularly in transactions involving low-income housing tax credits (LIHTC); and transactions involving large-scale master planned developments and special districts. He also represents secured lenders in complex financing matters and has significant experience with due diligence related to title, survey, and zoning.

Experience

  • Represented a global sports and entertainment company in a complex sale-leaseback transaction serving as an anchor tenant within a new master-planned development, including negotiation of declarations, development agreements, and city-related agreements.
  • Represented a national lifestyle brand in the negotiation and execution of long-term retail leases in major shopping centers across the US, including new market entries.
  • Represented a major institutional lender in the closing of a portfolio loan secured by dozens of industrial properties across multiple jurisdictions, including review of title, survey, and zoning matters and preparation of asset-level risk analyses.
  • Represented a family office in the refinancing of a nationwide self-storage portfolio, including negotiation of loan documents, entity restructurings, and resolution of mortgage tax, title, and zoning issues.
  • Represented an institutional lender in connection with defaults under large mortgage loans secured by multifamily properties, including foreclosure proceedings, receivership actions, workouts, and settlements involving deeds in lieu of foreclosure.
  • Represented a joint venture in the discounted acquisition of a non-performing loan secured by senior living and memory care facilities, including note-on-note financing, joint venture structuring, diligence, and preparation for foreclosure and operational takeover.
  • Represented institutional investors and lenders in the exercise of remedies under partnership and operating agreements related to LIHTC projects across multiple US states, including disputes involving unauthorized liens, delayed construction, mechanic’s liens, and guaranty enforcement.
  • Represented investment partners in the stabilization of a delayed LIHTC housing project, including negotiations with municipal authorities and bridge lenders, bond financing to resolve liens, and restructuring to enable construction to proceed to completion.
  • Represented a real estate investment fund in the due diligence, acquisition, and financing of large pools of performing and non-performing commercial real estate loans, including loan purchase agreements, joint venture structuring, entity formation, and coordination of multi-office diligence teams under expedited closing timelines.
