Overview

Michael’s practice focuses on domestic and cross-border transactions, including mergers and acquisitions, financings, securitizations, infrastructure projects and general corporate law.

As part of the firm’s Accounting Firm Mergers and Acquisitions team, Michael has gained significant experience advising accounting firms in establishing alternative practice structures and facilitating outside investments in those structures. He is also a key member of the firm’s Digital Infrastructure team, as part of which he assists clients in the technology and telecommunications industries with respect to the development of subsea and terrestrial fiber optic networks. Michael has participated in transactions involving many of the world’s most significant subsea cable system builds.

In addition to his corporate work, Michael routinely advises pro bono clients on a wide range of matters including marital support and child custody arrangements, landlord-tenant disputes and contract negotiation. While in law school, he was a member of the University of Miami School of Law’s Innocence Clinic where he assisted in the exoneration efforts of wrongfully convicted individuals in Florida. Prior to joining the firm, Michael co-founded a nonprofit organization in the Bahamas that delivered school supplies to local children in need.

Experience

  • Represents technology, media and telecom groups in connection with the construction, development and operation of digital infrastructure networks, including subsea and terrestrial, in Western Europe, South America and the Atlantic Ocean.
  • Represents private equity clients in various platform-level and add-on acquisitions.
  • Advises lenders on the transition of loan portfolios from LIBOR to alternative rates.
  • Represents Ginnie Mae in the issuance of securities pursuant to its government guaranteed multiclass securities program.
  • Represented Armanino LLP in connection with formation of an alternative practice structure and investment in nonattest business by Further Global.
  • Represented Fishman Block + Diamond, LLP in its strategic combination with Cerity Partners.
  • Assisted the International Finance Corporation in a secured loan denominated in select Latin American currencies with Knight Therapeutics Inc., a specialty pharmaceutical company focused on acquiring or in-licensing and commercializing pharmaceutical products for Canada and Latin America.
  • Represented FCC Aqualia USA, Corp. in its acquisition of Municipal District Services, LLC.
  • Assisted Graham Software Development, LLC, as buyer, in connection with the acquisition of all of the assets of a US-based and Uruguayan company, which is in the business of developing and commercializing software and other intellectual property for raffles, giveaways, and other contests on social media.
  • Advised the Inter-American Investment Corporation with respect to a $70 million tier 2 subordinated loan to Banco de Occidente S.A, a Colombian banking institution.
  • Advised the International Finance Corporation with respect to a $70 million unsecured loan to Agencias Universales S.A., a leading logistics provider and operator based in Chile.
