  • Current 280G Mitigation Techniques (3/12/2026)
    The purpose of this program is to discuss the operational aspects of 280G when designing executive compensation arrangements, including mitigation techniques that can be applied well in advance of an change-in-control (even before such is seriously contemplated) and mitigation techniques that can be applied in connection with a change-in-control. Related tactical issues and solutions will also be discussed. 
  • Design Considerations for C-Suite Executive Contracts (4/9/2026) 
    The purpose of this program is to discuss design considerations within executive contracts, looked at from both the employer and executive perspective, and to detail how executives can "win" in a way that is aligned with shraeholder value. 
  • Governance: How to Properly Hire and Terminate an Executive Officer (5/14/2026)
    This program is taught from a governance perspective, focusing on the fiduciary duties of the Board of Directors when hiring and terminating an executive officer. 
  • Selling an ESOP-Owned Company: A List of Business and Legal Issues (6/11/2026)
    For privately-held companies, a sale transaction to an ESOP can create substantial tax advantages for the selling shareholders, while also maintaining a continuity of culture and governance. This program discusses the business points of the "why" and "how" within an ESOP transaction.
  • Designing Employee Stock Purchase Plans (7/9/2026)  The purpose of this program is to break down the mechanics of an employee stock purchase plan (both qualified and non-qualified) and the design choices associated with the same.

  • Preparing for Proxy Season: Start Now (an Annual Program) (9/10/2026)
    This is an annual program, and is intended to help issuers prepare their Compensation Committee of the Board of Directors for the upcoming proxy season in 2027.
  • Carrot and the Stick: Delving Into Various Stick-Related Retention Ideas (10/8/2026)
    Incentivizing executives with money, equity, perquisites and contractual entitlements is 50% or so of an executive compensation package. But other incentives exist through negative reinformement such as restrictive covenants, hold policies, etc. The purpose of this program is to focus on the design of various stick-related incentive and retention tools.
  • Form 4 Training Course (11/12/2026) 
    The purpose of this program is to break down the intellectual aspects of Section 16, and detail Form 4 compliance. This program is intended to be a training program for those responsible for, or desiring to learn more about, Form 4s.
  • Compensation: Year-End Review of 2026 (12/10/2026) 
    Items The purpose of this program is to catch-up on all compensatory items that might have been missed in 2026.
