The purpose of this webinar is to begin readying the Compensation Committee of an issuer’s Board of Directors for the upcoming proxy season. To that end, this webinar will cover the following topics: (i) lessons learned from the prior proxy season; (ii) possible impact of Human Capital disclosure on upcoming compensation decisions and designs; (iii) the extent to which ESG metrics (including D&I) should be considered in upcoming compensatory decisions, and if so implemented, thoughts on how such should be structured; (v) current trends in shareholder engagement on compensatory issues; (vi) current trends in compensatory design; and (vii) recent ISS pronouncements.
