The purpose of this seminar is to provide an A-Z discussion on clawback policies for publicly-traded issuers. To that end, such discussion will include: (i) a comparison between Sarbanes-Oxley and the requirements of Dodd-Frank (once the latter is implemented and effective), (ii) an overview and analysis of the different approaches taken by issuers, including various design features, (iii) sample proxy disclosures regarding clawback policies, and (iv) issues associated with indemnification and advancement of expenses.
