New Texas Laws Affecting Corporate Governance of Bank Holding Companies and Banks in Texas
Texas lawmakers have recently passed a wave of bills affecting the corporate governance of corporations and other business entities in Texas—including bank holding companies and their bank and non-bank subsidiaries organized under the laws of the State of Texas.
In this CLE presentation, Daryl Robertson and Nate B. Jones will explore the new amendments to the Texas Business Organizations Code, many of which will require Texas entities to consider amending their governing documents, such as their certificate of formation or bylaws. This presentation will further discuss what steps bank holding companies and banks in Texas—including national banks who have elected to be governed by Texas law—should consider taking to avail the benefits of these amendments to Texas law.
