Hunton Advises on American Transmission Company LLC’s $300M Senior Notes Offering
Hunton Andrews Kurth LLP advised the initial purchasers in connection with American Transmission Company LLC’s (“ATC”) offering of $300 million aggregate principal amount of its 5.750% Senior Notes due 2056, in a private placement under Regulation S and Regulation 144A of the Securities Act of 1933, as amended, to eligible purchasers. The transaction closed on March 16, 2026.
ATC is a Wisconsin-based utility that owns and operates the electric transmission system in portions of Wisconsin, Michigan, Minnesota and Illinois. Formed in 2001 as the nation’s first multi-state transmission-only utility, ATC now owns and operates over $7.5 billion in assets, including over 10,000 miles of transmission lines and more than 590 substations. ATC is privately held by twenty-seven owners, consisting of investor-owned utilities, municipalities, municipal electric companies and electric cooperatives.
