Hunton Represents Deep Isolation, Inc. in Concurrent Reverse Merger and Private Placement Transactions
Hunton Andrews Kurth LLP represented Deep Isolation, Inc., a private emerging growth company, in its transition to a public reporting company. Deep Isolation has developed proprietary solutions for corrosion-resistant canisters containing nuclear waste to be deposited in deep boreholes directionally drilled over a kilometer below the Earth’s surface, providing a safe, scalable, and cost-effective solution for nuclear waste disposal.
The transactions included a reverse merger with Aspen-1 Acquisition Inc., which was a “shell” public reporting company (with no prior operating history before the merger) and an oversubscribed $33 million private placement financing. Read more about the transaction here.
Hunton partners Jeff Dodd, Mike O’Leary and Lee Davis led the deal team with assistance from corporate associates Kaitlyn Thorson and Candace Cravey. Partner George Borovas and senior attorney Colleen Grygier assisted with nuclear regulatory matters; Partner Tony Eppert and associate Tyler Richardson advised on executive compensation matters; Partner Alex McGeoch and associate Caitlin Scipioni advised on tax matters; Partners Henry Havre and Mark Young advised on opinion matters.
