Hunton Andrews Kurth Represents IDB Invest in a $125 Million Loan Facility to Engie Energía Chile S.A.
On December 23, 2020, the Inter-American Investment Corporation (“IDB Invest”), as lender, IDB Invest, in its separate capacity as agent of the Inter-American Development Bank (“IDB”), as the administrator of the China Co-Financing Fund for Latin America and the Caribbean and IDB Invest, in its separate capacity as sub-implementing entity of the Trust Fund for the Clean Technology Fund, closed on a $125 million unsecured loan facility to Engie Energía Chile S.A., (“Engie”), a Chilean sociedad anónima. The proceeds of the loans will be applied exclusively by Engie to pay for costs associated with the design, construction, operation and maintenance of the 162 MW Calama Wind Farm to be located near the city of Calama, Antofagasta, Chile and the proceeds of each disbursement of the loans will be applied by Engie only to payment for, or reimbursement of, expenditures for goods produced in, or services supplied from or originating in, territories of countries that are IDB Invest members or IDB members.
The U.S.-based firm of Hunton Andrews Kurth LLP advised IDB Invest as international counsel. Chilean legal advice to IDB Invest was provided by Cariola Díez Pérez-Cotapos SpA. The U.S.-based firm of Shearman & Sterling LLP advised Engie as New York counsel, and the Chilean-based firm of Prieto y Cía advised Engie as Chilean counsel.
