Hunton & Williams LLP Announces the Publication of Goolsby on Virginia Corporations, Fourth Edition

RICHMOND, Va. — March 29, 2011 — Hunton & Williams LLP is pleased to announce LexisNexis has released the fourth edition of Goolsby on Virginia Corporations. Due to a number of significant developments in corporation law, this edition includes substantial changes from the third edition, published in 2008.

While there have been significant changes in Virginia's corporate code, many of the major changes addressed in the fourth edition have occurred at the national level, where corporate governance has become a hot topic. These changes reflect the continuing erosion of the traditional view that the rules of corporate governance were the sole province of the state of incorporation. "Trying to address those varied and important developments has made the fourth edition significantly more challenging. While the focus continues to be on Virginia corporate law, in the rapidly changing corporate governance arena, it is harder to view that law in isolation," said Allen Goolsby.

In addition to developments at the federal level, developments in other states have taken on greater importance for Virginia corporations. With that thought in mind, in the fourth edition, Goolsby focuses significantly greater attention on court decisions in other jurisdictions, especially recent Delaware court decisions and changes in the Delaware corporate code.

Goolsby, a senior partner with the firm's Richmond office, focuses his practice on corporate law, including corporate governance, mergers and acquisitions, and securities and finance.
