Hunton & Williams Represents Carlyle Infrastructure Partners in $327M Park Water Company Sale

NEW YORK — September 23, 2014 — Hunton & Williams LLP advised Carlyle Infrastructure Partners in its $327 million sale of Western Water Holdings LLC, and its water distribution utility Park Water Company and its subsidiaries, to Liberty Utilities, the regulated utility business of Algonquin Power & Utilities Corp. Western Water Holdings is a wholly owned investment of Carlyle Infrastructure Partners, the infrastructure investment business of the Carlyle Group. Park Water Company owns and operates three regulated water utilities engaged in the production, treatment, storage, distribution, and sale of water in Southern California and Western Montana.

Hunton & Williams’ cross-office multidisciplinary team was led by G. Roth Kehoe, and includes corporate team lawyers Steven M. Haas, Cameron Z. Hill, James A. Kennedy, McKenzie Carson, and Chike N. Egbuniwe; antitrust lawyer Gregory L. Kinzelman; tax and employee benefits lawyers Alexander G. McGeoch and Scott L. Austin; intellectual property lawyer Eric J. Hanson; and secured transactions lawyer Kimberly C. MacLeod.

The acquisition is subject to certain approvals and conditions, including state and federal regulatory approval, and is expected to close in the latter half of 2015.
