Hunton & Williams (Thailand) Limited Represents GHECO-One in US$750M Project Financing in Thailand

Bangkok, 27 October 2008 — Hunton & Williams (Thailand) Limited today announced it represented GHECO-One, an affiliate of Glow Group, in a US$460 million and Thai Baht 9,960 million financing (total value US$750 million) of a 660 MW IPP (Independent Power Producer) Project (the “Project”) located in Map Ta Phut, Thailand. The Project, along with two expansion projects of 382 and 115 MW, will increase Glow Group’s production capacity in Thailand by 50 percent by the end of 2011.

“We are proud to have assisted Glow Energy, a subsidiary of GDF Suez S.A., in the development and financing of the first IPP to sign a PPA (power purchase agreement) in EGAT’s (Electricity Generating Authority of Thailand) second round IPP bidding,” said Stephen Bennett, lead partner on the transaction. “The project was so well devised and implemented by Glow Energy, GDF Suez and Hemaraj that we could close notwithstanding the adverse credit market conditions.” Assisting Bennett on the transaction were Bangkok counsel Richard Savage and associate Nithi Laophulsuk.

The Project will be financed in US dollars by a syndicate of seven international banks including Bank of Tokyo-Mitsubishi, UFJ, Fortis, KBC, KfW, Standard Chartered Bank and Sumitomo Mitsui Banking Corporation. Thai Baht financing will be provided by Bank of Ayudhya and Kasikornbank.

Shearman & Sterling LLP served as lenders’ international counsel. Siam Premier International Law Office Limited served as lenders’ Thai counsel. Hemaraj, minority shareholder in GHECO-One, was represented by Allen & Overy (Thailand) Limited.
