Clay focuses his practice on private equity issues and corporate transactions. Clay advises private equity firms, private investment funds, institutional investors, and public and private companies in connection with mergers and acquisitions, corporate structuring and governance, fund formations and offerings, joint ventures, venture capital investments, and general corporate matters.

Clay’s experience representing clients in the real estate, consumer products, manufacturing, and life sciences industries includes counseling the following:
- Private equity firms, in connection with fund formations and offerings and subsequent platform and portfolio financings, acquisitions, and divestitures.
- Private equity firms, in connection with the establishment of incentive equity and employee participation
- Real estate private equity firms, with respect to investments in real estate operating companies and general partner capital strategies.
- Real estate private equity firms, in the formation of single-asset funds and comingled multi- asset funds with investments in multifamily, development, industrial, and hospitality assets.
- Real estate private equity firms, with respect to joint ventures with investment strategies focused on build-for-rent and single family residential investments.
- Publicly traded companies and other corporate investors, in connection with strategic venture capital investments in emerging and growth-stage companies.
- Sponsors and investors, in the formation of permanent capital vehicles, long term holding companies, search funds, and similar investment vehicles.
