Overview

Field advises clients on corporate and securities matters, public and private capital markets transactions, mergers and acquisitions, commercial agreements, and periodic SEC reporting. He represents public companies, special committees, and other clients in debt and equity offerings, strategic investments, governance matters, and complex M&A transactions. Field’s knowledge spans transactions in the energy, natural resources, mining, financial services, accounting and professional services, and consumer sectors.

Drawing on prior experience as an investment banking analyst in the Global Energy Group at Moelis & Company and as an associate at a special purpose acquisition corporation, Field brings a commercially-informed perspective to financings, strategic transactions, and public company matters.

  • International Tower Hill Mines ’s $75 million public offering of common stock and concurrent $40 million private placement from Paulson & Co. Inc.
  • Perpetua Resources ’s $71 million public offering of common stock and concurrent private placements totaling over $260 million from Agnico Eagle Mines Limited and JPMorgan Chase & Co.
  • Perpetua Resources ’s $325 million public offering of common stock and concurrent $100 million private placement from Paulson & Co. Inc.
  • NYSE-listed world-wide retailer’s $8 billion notes offering.
  • Perpetua Resources ’s $35 million public offering of common stock.

Mergers and Acquisitions

  • TreeSap Farms, LLC’s sale of substantially all of TreeSap's assets for approximately $88 million, among other forms of consideration, to TYFCO, LLC.
  • Alpha Foods Co.’s sale to MBC Companies, a portfolio company of Entrepreneurial Equity Partners.
  • CohnReznick LLP’s formation of alternative practice structure and investment in nonattest business by Apax Partners
  • Viper Energy ’s $4.45 billion acquisition of mineral and royalty interests in certain oil and gas properties from Diamondback E&P LLC.

Corporate Governance

  • Sunoco GP LLC’s redomestication to the State of Texas.
  • Western Midstream Holdings, LLC’s negotiation of amendments to Delaware Basin natural gas contracts with a subsidiary of Occidental, new volume dedication agreements with a subsidiary of ConocoPhillips, and a unit redemption agreement under which Occidental transferred 15.3 million WES common units (approx. $610 million in limited partnership interests) to WES.
