
Overview
James represents companies and their officers and directors in a wide range of litigation matters nationwide, with a particular focus on corporate governance, state and federal securities laws, mergers and acquisitions, and contractual disputes and business torts. He defends clients in investigations by state and federal regulators, including the US Securities & Exchange Commission and Department of Justice. James also advises clients in connection with internal investigations on behalf of corporations, boards of directors, and special committees. His experience spans a variety of industries, including the financial services, technology, telecommunications, consumer products, energy, transportation, and utility sectors. In addition, James counsels clients regarding their corporate compliance and ethics programs, particularly with respect to anti-corruption and anti-bribery issues.
James maintains an active pro bono practice with an emphasis on representing clients in housing and immigration matters.
Prior to joining Hunton, James worked at another global law firm in Washington, DC. While at the University of Virginia School of Law, James served as an intern to The Honorable Liam O’Grady of the US District Court for the Eastern District of Virginia and The Honorable Dennis W. Shedd of the US Court of Appeals for the Fourth Circuit.

- Represent a Fortune 500 company and its directors and officers in shareholder derivative litigation alleging breach of the duty of oversight in connection with operational safety.
- Represent an electric utility company and its officers in shareholder class action lawsuit alleging breach of the fiduciary duty of loyalty in connection with the acquisition of the company by an infrastructure asset manager.
- Advise a special committee of the board of directors of a software company regarding indemnification of a director in connection with a judgment in shareholder litigation.
- Represent a brokerage firm in a Securities & Exchange Commission investigation regarding trading practices in the municipal bond market.
- Represent the directors of a telecommunications company in litigation seeking inspection of books and records and simultaneous arbitration regarding the members’ distribution rights under an operating agreement.
- Represent a community bank in litigation against a prospective purchaser of the bank for breach of the purchase and assumption agreement in connection with the process of obtaining regulatory approval of the transaction.
- Represent a director of an international telecommunications company in litigation alleging breach of fiduciary duty and tortious interference in connection with regulatory approval of the sale of the company.
- Represent a leading regional homebuilder in litigation alleging breaches of purchase and consulting agreements with a holding company that had acquired the homebuilder.
- Represent a major public accounting firm in state regulatory proceedings regarding a significant Securities & Exchange Commission order against the firm.
- Advise a leading metals company regarding updates to its anti-corruption, export compliance, and sanctions policies and procedures.
- Represent a major sportswear company in investigations by the Securities & Exchange Commission and the Department of Justice regarding public disclosures of revenue growth.*
- Advise the board of directors of a fashion holding company in an internal investigation of allegations of personal misconduct by the chief executive officer.*
- Represent a leading asset management firm in litigation seeking inspection of books and records regarding the termination of a tax receivable agreement.*
