Experience

  • Represented a utility borrower in connection with a $1.5 billion term loan facility.
  • Represented a global financial institution, as administrative agent and lead arranger, in connection with a $3.5 billion revolving credit facility for Consolidated Edison.
  • Represented Pacific Gas and Electric Company in connection with its $15 billion loan guarantee from the U.S. Department of Energy’s Loan Programs Office pursuant to the Title 17 Clean Energy Financing Program.
  • Represented buyers and sellers of energy tax credits (ITC and PTC) in various tax credit transfer transactions aggregating more than $2 billion.
  • Represented Olin Corporation in connection with its $1.85 billion credit agreement and $600 million senior notes offering.
  • Represented seller in connection with the transfer of up to $700 million of 45X advanced manufacturing production tax credits.
  • Represented Pacific Gas and Electric Company in connection with its $15 billion loan guarantee from the U.S. Department of Energy’s Loan Programs Office pursuant to the Title 17 Clean Energy Financing Program.
  • Represented manufacturer borrower in connection with a $1.55 billion term and revolving credit facility.
