The purpose of this session is to break down the five main principles that are the framework of ISS and its compensatory policies. To that end, we will cover voting guidelines related to equity plans and non-employee directors, ISS thoughts on board responsiveness to investor input on compensatory issues, problematic pay practices, the Equity Plan Scorecard, pay-for-performance, and more. Our goal is to provide attendees with a broader appreciation of the ISS framework in the compensatory area and to deep dive into common issues.
