This is Part 1 of a 3-part series intended to help train the attendee on the design of an equity incentive plan (i.e., the other two parts address options/SARs and restricted stock/RSUs). To that end, this discussion will include design considerations from the perspective of: (i) ISS, (ii) institutional shareholders, (iii) share reserve management, (iv) Rule 16b-3 and other governance-related provisions, (v) tax efficiency, (vi) change-in-control thoughts , (vii) equity v. liability classification for accounting purposes, and (viii) more.
