Hannah Flint

Hannah advises domestic and international clients on securities law, capital markets transactions, corporate governance, mergers and acquisitions, and environmental, social, and governance (ESG) and sustainability matters. She counsels clients on US securities laws matters including disclosure and periodic reporting, securities law compliance, ‘33 and ‘34 Act matters, and a broad range of capital markets transactions. She guides clients through a range of strategic corporate transactions including debt and equity offerings, both public and private, and mergers and acquisitions.

Hannah also brings significant experience in ESG and sustainability matters. She regularly advises companies on ESG reporting and governance and assists in preparing for evolving regulatory developments in the US and Europe. Her commitment to guiding clients through the complexities of ESG disclosure and regulatory compliance, combined with her broader securities and governance practice, underscores her role as a trusted advisor in the evolving landscape of corporate transactions, responsibility, and governance.

• Represents companies in matters concerning ESG and sustainability strategy and reporting, including sustainability reports, reporting to various frameworks, processes, and controls around ESG reporting, and ESG governance.
• Represents public and private companies in matters concerning securities law compliance and disclosure and periodic reporting.
• Represents issuers and underwriters in international and domestic public and private debt offerings, including US dollar and euro bonds.
• Represents clients in matters concerning corporate governance and shareholder matters, including shareholder proposals and preparation of proxy statements and shareholder meeting materials.
• Represents public and private companies in mergers and acquisitions transactions, including transactions involving strategic corporate restructurings.
