Patrick Jamieson

Patrick represents issuers and underwriters in a range of capital markets transactions. Patrick advises issuers and underwriters across a range of public and private securities offerings, primarily in the power and utilities sector. His experience includes common stock offerings, establishment of “at-the-market” equity programs, equity-linked offerings, preferred and hybrid securities offerings, unsecured and secured debt offerings, including first mortgage bonds, tax-exempt offerings and remarketings, 4(a)(2) private placements and liability management transactions. He also has experience advising clients on ESG (Environmental, Social and Governance) offerings and establishment of ESG frameworks and regularly advises clients on general corporate, securities law and corporate governance matters.

Patrick has contributed to legal publications such as Law360 and Energy and Environmental Law and authors industry-related thought leadership pieces.

• Represented PG&E Corporation and its subsidiary Pacific Gas and Electric Company in connection with their $22.7 billion debt exit financing, which included the largest utility debt financing in history, and establishment of a new first mortgage bond indenture, issuance of new debt securities pursuant to its plan of reorganization and securities law advice related to PG&E’s Chapter 11 bankruptcy proceedings.
• Represented underwriters in connection with equity units offerings by The Southern Company and NextEra Energy, Inc.
• Represented underwriters in connection with The Southern Company’s $9.4 billion debt and equity offerings to finance its acquisition of AGL Resources.
• Represented Duke Energy Corporation in connection with forward common stock offering and establishment of at-the-market equity program (with forward).
• Represented underwriters and forward counterparties in connection with multiple common stock offerings by Consolidated Edison, Inc.
• Represented sales agents in connection with the establishment of multiple at-the market equity programs by The Southern Company.
• Represented underwriters in connection with multiple first mortgage bond or other secured debt issuances by CenterPoint Energy Houston Electric, LLC, Florida Power & Light Company, National Rural Utilities Cooperative Finance Corporation, Oncor Electric Delivery Company LLC and Public Service Company of Colorado, Inc.
• Represented underwriters in connection with multiple unsecured debt issuances by American Electric Power Company, Inc. (and subsidiaries), Avangrid, Inc., CenterPoint Energy, Inc. (and subsidiaries), Consolidated Edison, Inc. (and subsidiaries), National Fuel Gas Company, National Rural Utilities Cooperative Finance Corporation, NextEra Energy, Inc. (and subsidiaries), NiSource Inc., The Southern Company (and subsidiaries), WEC Energy Group, Inc. (and subsidiaries) and Xcel Energy Inc.
• Represented purchasers in connection with 4(a)(2) private placements for ÖBB Group, The Southern Company and WEC Energy Group, Inc.
• Represented underwriters in connection with The Ohio State University’s establishment of a $1 billion shelf registration-style municipal bond offering program.
• Represented initial purchasers and underwriters in connection with the inaugural U.S. $3.25 billion debt issuance and $1.2 billion MJDS-registered convertible subordinated notes issuance by Emera Incorporated to finance its acquisition of TECO Energy, Inc.
• Represented remarketing agents in connection with issuances and remarketings of tax-exempt multimodal debt by subsidiaries of The Southern Company and American Electric Power Company.
